By accessing or using OpenClaw ("the Service"), operated at openclawmybusiness.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including our website, AI assistant platform, booking services, and SMS/text messaging communications.

2. Description of Service

OpenClaw provides an AI assistant platform that allows users to:

• Create and train custom AI assistants for their business
• Upload documents, videos, and other content for AI training
• Connect AI assistants to multiple communication channels
• Interact with AI models including Claude, GPT-4, and Gemini
• Create and manage online storefronts for booking services
• Send transactional SMS/text messages and email communications to customers
• Access analytics, conversation history, and business intelligence

3. Account Requirements

To use certain features of the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Be responsible for all activities that occur under your account

4. Subscription and Billing

Free Trial

We offer a free trial for new users. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.

Subscription Plans

Paid subscriptions are billed monthly. The current pricing is available on our website. Prices are subject to change with 30 days' notice.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused time.

5. SMS/Text Messaging Terms

By using our Service and providing your phone number or your customers' phone numbers, you agree to the following SMS/text messaging terms:

Program Description

Transactional SMS notifications for business operations including appointment confirmations, appointment reminders, lead alerts, quote follow-ups, review requests, and business summary notifications.

Consent to Receive Messages

By providing a phone number during booking, registration, or any interaction on our platform, the phone number owner expressly consents to receive transactional SMS/text messages from OpenClaw and businesses using our platform. Consent is not a condition of purchase.

Message Frequency

Message frequency varies based on business activity. Typical usage is 1-10 messages per week.

Message and Data Rates

Message and data rates may apply. Contact your wireless carrier for details.

Opt-Out Instructions

To stop receiving messages, text STOP to any message. You will receive a one-time confirmation that you have been unsubscribed. No further messages will be sent unless you re-opt-in. You may also opt out by contacting support@openbotassistant.com.

Carrier Liability

Carriers are not liable for delayed or undelivered messages.

Compatible Carriers

Service is available on all major US wireless carriers including AT&T, Verizon, T-Mobile, and most regional carriers.

Business User Responsibilities

If you are a business user sending SMS messages through our platform to your customers, you are responsible for ensuring that you have obtained proper consent from your customers before messages are sent. You must not use our SMS service to send spam, unsolicited messages, or messages to numbers that have opted out. Violation of these terms may result in immediate suspension of your SMS privileges and account.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Harass, abuse, or harm another person
• Generate spam or unsolicited communications, including unsolicited SMS/text messages
• Send SMS messages to phone numbers without proper consent
• Attempt to gain unauthorized access to systems
• Generate content that is illegal, harmful, or offensive
• Misrepresent AI-generated content as human-created
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers

7. User Content

Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a non-exclusive license to use, process, and store that content to provide the Service.

Content Responsibility

You are solely responsible for the content you upload and the messages sent through your account, including SMS/text messages sent to your customers. You warrant that you have all necessary rights to upload and use that content.

AI-Generated Content

AI-generated responses may not always be accurate. You are responsible for reviewing and verifying any AI-generated content before relying on it.

8. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are owned by OpenClaw and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Third-Party Services

The Service integrates with third-party services including AI providers (Anthropic, OpenAI, Google), payment processors (Stripe), email delivery (Resend), SMS delivery (Twilio), and hosting infrastructure (Vercel). Your use of these integrations is subject to their respective terms of service.

We are not responsible for the availability, content, or practices of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPEN BOT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Service interruptions or downtime
• Errors or inaccuracies in AI-generated content
• Failed or delayed SMS/email message delivery
• Unauthorized access to your account
• Charges from your mobile carrier for SMS messages
• Any other damages arising from use of the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
• GUARANTEED DELIVERY OF SMS OR EMAIL MESSAGES

12. Termination

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• You engage in fraudulent or illegal activity
• You send unsolicited or spam SMS/text messages through our platform
• You fail to pay applicable fees
• Continued service poses a risk to us or other users

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of New York.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For material changes, we may also notify you by email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
